Theindonesiatoday.com - China Nickel Resources Holdings Company Limited said its indirect wholly-owned subsidiary had in October 7, 2011 entered into the sale and purchase agreement (SPA) for acquiring mine in Indonesia.
It said the agreement was made with, among others, the vendors, pursuant to which the vendors agreed to sell and China Nickel's subsidiary agreed to purchase the sale shares.
The vendors are Easyman Assets Management Limited and East Grow Management Limited, on the other hand, is a non wholly-owned subsidiary of Easyman Assets.
The subject matter of the acquisition is the remaining First Yiwan Convertible Bond, the First Yiwan Debt and the Second Yiwan Debt.
The consideration is initially HK$2,067,000,000 (subject to adjustment), which shall be satisfied (i) as to HK$10,000,000 in cash, payable to the Vendors at Completion; (ii) as to HK$150,000,000 in cash payable upon the purchaser being registered as a holder of not less than 75% of the then issued share capital of Yiwan; and (iii) as to HK$1,907,000,000 by the issue of the Convertible Notes by the company at completion.
Subsequent to completion and upon full conversion of the remaining First Yiwan Convertible Bond into shares of Yiwan, the company will, through the purchaser, be interested in a maximum of 80% of the then issued share capital of Yiwan, which is the maximum limit of foreign ownership permitted in an Indonesian mining company in its production stage as at the date of this announcement.
Pursuant to the mining business licence granted by the Indonesian government, Yiwan has the construction, production, transportation and sale, processing and refining rights with respect to the mine to conduct mining activities for a period of approximately 27 years from 29 June 2009 and expiring on 24 January 2036.
The mine is an iron-nickel deposit, covering an area of approximately 4,001 hectares with area code TB.06 JANPR 02, located in the Village of Mekarsari, the District of Simpang Empat (formerly Batulicin), Regency of Tanah Bumbu, in the Province of South Kalimantan, the Republic of Indonesia, with estimated mineral Resources (according to JORC classifi cation) of approximately 177 million tons.
