It will issue 339.75 million new shares, through pre-emptive rights scheme. Each 500 old shares will get 250 new shares. The shareholders recorded at April 3, 2012 will be entitled for buying new shares.
PT Sentosa Bersama Mitra will act as standby buyer for the new shares. The existing shareholders will face dilution of 33.33% ownership if they failed to exercise their rights.
The company schedules to hold extraordinary general meeting (EGM) of shareholders on March 21, 2012 for gaining approval on the rights issue proposal. Trading of rights is set for April 5-21, 2012.
The company's shareholders are Blackgold Resources Limited (29.8%), Sunmax Enterprise Limited (24.9%), Suntech Group Holdings Limited (7%) and public (38.3%).
Djauhar Maulidi, RAJA's finance director, earlier said the rights issue proceeds will be used to settle the company's promissory notes worth Rp209 billion.
He said the promissory notes was used to fund the acquisition of PT Panji Raya Alamindo and PT Triguna Internusa Pratama in October 2010.
As of October 31, 2011, the company's liability totaled Rp696.26 billion. (hans@theindonesiatoday.com)
